Terms of Service

These Terms of Service ("Terms") govern your access to and use of FetcherPay's payment infrastructure APIs, dashboards, and related services (the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

1. Eligibility and Account Registration

You must be a legally registered business entity to use FetcherPay's Services. By registering, you represent that:

  • You have the legal authority to bind your business to these Terms
  • Your business and its principals will pass our KYC/AML verification process
  • You will provide accurate and complete information during registration and keep it updated
  • You will not use the Services for any unlawful or prohibited purpose

2. Payment Services

FetcherPay provides payment routing infrastructure that connects your business to multiple payment rails including ACH, Real-Time Payments (RTP), card networks, and digital wallets. You acknowledge that:

  • Settlement timelines vary by payment rail and are subject to network rules
  • FetcherPay acts as a payment service provider, not a bank
  • Banking services are provided by our partner institutions, including Column Bank (Member FDIC)
  • You are responsible for all transactions initiated through your API keys

3. Fees and Pricing

Fees are charged per transaction based on the payment rail used. Current pricing is available in your merchant dashboard. FetcherPay reserves the right to modify fees with 30 days' written notice. You authorize FetcherPay to deduct fees from settlement amounts or charge your designated account on file.

4. Prohibited Uses

You may not use FetcherPay's Services for:

  • Illegal goods or services, including unlicensed gambling or controlled substances
  • Money laundering, terrorist financing, or other financial crimes
  • Processing payments on behalf of undisclosed third parties (payment facilitation without disclosure)
  • Circumventing fraud detection systems or chargebacks in bad faith
  • Any purpose that violates applicable law, regulation, or card network rules

5. API and Integration

You are responsible for keeping your API keys confidential. You must not share API keys in public repositories, client-side code, or other unsecured locations. You agree to use idempotency keys for all payment requests to prevent duplicate transactions. FetcherPay may rate-limit or suspend API access that generates unusual traffic patterns.

6. Chargebacks and Disputes

You are responsible for chargebacks, disputes, and refunds arising from your transactions. FetcherPay will provide dispute management tools and evidence submission support. Excessive chargeback rates (above 1% by card networks' standards) may result in service suspension. We reserve the right to hold reserves for high-risk merchants.

7. Data and Privacy

Your use of the Services is also governed by our Privacy Policy. You are responsible for obtaining appropriate consent from your customers for data processing activities. You must not use transaction data for purposes other than fulfilling payments and required reporting.

8. Uptime and Service Levels

FetcherPay targets 99.9% API uptime. Planned maintenance windows will be communicated 48 hours in advance. We are not liable for downtime caused by third-party payment networks, banking partners, or force majeure events outside our reasonable control.

9. Limitation of Liability

To the maximum extent permitted by law, FetcherPay's aggregate liability for any claims arising out of or relating to these Terms or the Services shall not exceed the fees paid by you in the 3 months preceding the claim. FetcherPay is not liable for indirect, incidental, consequential, or punitive damages.

10. Termination

Either party may terminate the Services with 30 days' written notice. FetcherPay may suspend or terminate access immediately for violations of these Terms, suspected fraud, or regulatory requirements. Upon termination, outstanding settlement amounts will be paid per normal settlement cycles after any reserve hold period.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved by binding arbitration under JAMS rules, except that either party may seek injunctive relief in courts of competent jurisdiction.
